TERMS OF SERVICE

Welcome to TOPSRCARS. These Terms of Service ("Terms") govern your access to and use of our website, services, and consulting deliverables. By engaging our services, accessing our website, or communicating with us in a business capacity, you agree to be bound by these Terms. Please read them carefully.

ACCEPTANCE OF TERMS

By using our website, submitting an inquiry, or engaging our consulting services, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and accept these Terms in full. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

DESCRIPTION OF SERVICES

TOPSRCARS provides strategic marketing consulting services exclusively for automotive businesses, including dealerships, parts retailers, service centers, and related entities. Our services include but are not limited to:

  • Market and competitor analysis
  • Customer acquisition strategy development
  • Brand positioning consulting
  • Content and promotional strategy recommendations
  • Structured growth planning and roadmapping
  • Comprehensive marketing strategy development

All services are delivered 100% remotely as strategic advisory and documentation. TOPSRCARS does not manage advertising accounts, execute campaigns, hold client budgets, or perform implementation work on behalf of clients.

ENGAGEMENT AND PAYMENT

All engagements commence upon mutual agreement on scope and receipt of payment or deposit. Project pricing is communicated in writing prior to project kickoff. Payments are processed through approved payment processors. Prices are quoted in United States Dollars (USD) unless otherwise stated. Clients are responsible for any applicable taxes, fees, or charges imposed by their jurisdiction.

CLIENT RESPONSIBILITIES

To enable high-quality deliverables, clients agree to:

  • Provide accurate, complete, and timely information about their business during onboarding.
  • Respond to reasonable requests for clarification, data, or feedback within agreed timeframes.
  • Participate in scheduled discovery sessions or review calls as needed.
  • Use deliverables only for the intended business purpose described in the engagement.
  • Maintain the confidentiality of any proprietary frameworks, templates, or methodologies shared during the engagement.
  • Implement strategies through their own team, contractors, or chosen vendors.

INTELLECTUAL PROPERTY

Client-Specific Deliverables: Upon full payment, clients receive a non-transferable license to use the final strategic deliverables produced specifically for their business. This license permits internal use, implementation, and reasonable sharing with employees and contractors engaged in executing the strategy.

TOPSRCARS Intellectual Property: All underlying frameworks, methodologies, templates, analytical models, and proprietary approaches developed by TOPSRCARS remain the exclusive intellectual property of TOPSRCARS. Clients may not resell, redistribute, or republish these materials.

Client-Provided Materials: Clients retain ownership of all materials, data, and information they provide. Clients grant TOPSRCARS a limited license to use such materials solely for the purpose of delivering the engaged services.

CONFIDENTIALITY

TOPSRCARS treats all client business information, data, strategies, and communications as strictly confidential. We will not disclose, share, or use client information for any purpose other than delivering the engaged services. Confidentiality obligations survive the termination of any engagement. Clients similarly agree to maintain the confidentiality of TOPSRCARS' proprietary methodologies, frameworks, pricing structures, and non-public materials.

ADVISORY NATURE & NO GUARANTEES

Our services are strategic advisory in nature. While we apply rigorous analysis, industry expertise, and proven frameworks, TOPSRCARS does not guarantee specific business outcomes, revenue increases, lead volumes, conversion rates, or any other measurable results. Actual business outcomes depend on numerous factors outside our control, including but not limited to:

  • Quality and speed of implementation by the client's team
  • Market conditions and competitive dynamics
  • Product, service, and pricing decisions
  • Customer behavior and external economic factors
  • Execution discipline and resource allocation

Past performance of other clients does not guarantee similar results for your business.

// SECTION_08

LIMITATION OF LIABILITY

To the maximum extent permitted by law, TOPSRCARS, its owners, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with our services, including but not limited to lost profits, lost business opportunities, lost data, or reputational damage. Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

INDEMNIFICATION

Clients agree to indemnify, defend, and hold harmless TOPSRCARS from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) the client's implementation or execution of any strategy; (b) the client's violation of any applicable law or regulation; (c) the client's breach of these Terms; or (d) any content, data, or materials provided by the client.

PROJECT TIMELINES

Estimated project timelines are provided in good faith at engagement commencement. Typical deliverables are completed within 7-21 business days depending on scope and complexity. Timelines may be extended by mutual agreement or due to delays caused by incomplete client inputs, scope expansions, or other factors outside our reasonable control.

// SECTION_11

REVISIONS AND ACCEPTANCE

Each engagement includes up to two rounds of revisions within 14 days of initial delivery. Revision requests must be submitted in writing with specific, actionable feedback. Substantial scope changes beyond the original agreement may be subject to additional fees. Deliverables are considered accepted 14 days after delivery if no revision request has been submitted.

TERMINATION

Either party may terminate an engagement with written notice. Termination by the client is subject to our Refund Policy. TOPSRCARS reserves the right to terminate engagements immediately in cases of: (a) non-payment; (b) client abusive behavior toward our team; (c) requests for work that violates laws or ethical standards; (d) material breach of these Terms. Upon termination, clients receive work completed to date and remain responsible for applicable fees based on progress.

WEBSITE USE

By accessing our website, you agree not to: (a) use automated means to scrape or harvest data; (b) attempt to gain unauthorized access to our systems; (c) upload malicious code or content; (d) infringe on intellectual property rights; (e) engage in any activity that disrupts or interferes with the website's functionality. Website content is provided for informational purposes only and does not constitute professional advice until a formal engagement is established.

// SECTION_14

GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Daviess County, Kentucky, and the parties consent to personal jurisdiction in such courts.

DISPUTE RESOLUTION

Prior to initiating any formal legal action, both parties agree to attempt to resolve disputes through good-faith direct communication for a period of at least 30 days. If unresolved, the parties may pursue mediation or arbitration before resorting to litigation. This provision does not restrict either party from seeking injunctive or equitable relief where appropriate.

FORCE MAJEURE

Neither party shall be held liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power outages, internet failures, or other events constituting force majeure. Timelines will be extended by a reasonable period corresponding to the duration of the force majeure event.

MODIFICATION OF TERMS

TOPSRCARS reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated to active clients via email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms. The terms applicable to any specific engagement are those in effect at the time of engagement commencement.

// SECTION_18

ENTIRE AGREEMENT & SEVERABILITY

These Terms, together with our Privacy Policy, Refund Policy, and any written engagement agreement, constitute the entire agreement between you and TOPSRCARS regarding our services. If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
